Terms of Service
The agreement between you and Hanzo AI, Inc. for your account and your use of Hanzo — chat, coding, agents, APIs and the rest of the Services.

1. Who we are
Hanzo AI, Inc. (“Hanzo,” “we,” “us”) makes Hanzo: chat, Hanzo Dev and other agents that act on your behalf, the Hanzo Console, APIs and SDKs, the Enso router, hosted models, and the websites and apps that carry them (the “Services”). You are the person or organization using them.
These Terms, our Acceptable Use Policy and our Privacy Policy are the agreement between you and Hanzo. If you have a signed order form or other written agreement with us, it controls where it differs. The Data Processing Addendum applies when we process personal data for a business customer.
2. Your account
- Age. You must be at least 18, or the age of majority where you live if that is higher. The Services are not for children.
- Accurate information. Give us your real name, a working email address and correct billing details, and keep them current.
- Your credentials are yours. Do not share your password, sign-in codes or API keys, and do not let anyone else use your account. Tell [email protected] if you think someone has. You are responsible for what happens under your account.
- One person, one account. Do not open accounts to get around a limit, a suspension or a price.
- Closing your account. You can close it at any time from Settings. Outstanding charges stay owed. What happens to your data is in the Privacy Policy.
- Work and school accounts. If you sign up with a company email address or join an organization’s workspace, that organization may administer your account, see and control workspace content, set retention and training settings, and suspend your access. It is the organization’s job to tell its people so.
3. Using the Services
You may use the Services for lawful personal and business purposes in line with these Terms and the Acceptable Use Policy, which is part of this agreement. We offer the Services in the countries where we are able to; we may limit or block a region, a feature or a provider where the law or a licence requires it.
You may not:
- break the law, or help someone else break it;
- infringe or misuse anyone’s intellectual property, privacy or other rights;
- access, probe or disrupt any system, account or data you are not authorized to reach, or attack the Services, including denial-of-service and other abuse of capacity;
- reverse engineer the Services, or extract model weights, system prompts or routing policies, except where an open-source licence or the law lets you;
- use outputs to train, fine-tune or distill a model that competes with Hanzo, or resell or redistribute the Services without our written permission;
- scrape or crawl the Services, or reach them by automated means other than our documented APIs, SDKs and tools;
- get around rate limits, usage metering, safety measures or regional restrictions; or
- treat an output as financial, legal or medical advice, or rely on it for a decision that matters without checking it yourself (see Section 5).
4. Business, API and organization use
If you use the Console, an API key, or an organization workspace for a company or other entity, you confirm you have authority to bind it, and “you” then means that entity. You are responsible for your users, your applications, the notices and permissions your end users are owed, and your instructions to us.
Business and API content is not used to train generalized Hanzo models or routers by default. That requires a separate, affirmative choice by an authorized administrator, or a written agreement.
5. Inputs, outputs, actions and materials
“Inputs” are what you send us: prompts, files, code, images, audio, instructions, and what you let the Services reach through connectors. “Outputs” are what the Services return. “Actions” are things the Services do in a system at your direction: editing a file, running code, sending a message. Together with related logs and traces we call these your “Materials.”
5.1 Who owns what
You keep your rights in your Inputs. As between you and Hanzo, and as far as the law allows, we assign you whatever rights we have in your Outputs. That does not give you rights that belong to someone else, and other people may receive similar or identical Outputs.
5.2 Your responsibility
You confirm that you have the rights and permissions needed to send us your Inputs and to have us act on them. Do not send regulated data we have not agreed to handle — protected health information, payment-card numbers, classified or export-controlled material, student records — unless you have a signed agreement that covers it. Do not send another person’s face, voice or likeness to identify, clone or impersonate them without the permission the law requires.
5.3 Outputs can be wrong, and agents act
AI makes mistakes. An Output can be inaccurate, out of date, biased, insecure or invented, including citations that do not exist. Code it writes can carry vulnerabilities or incompatible licences. Agents and connectors can take consequential Actions: they can change files, run code, reach other services and send messages. Give them the least access they need, keep backups, supervise actions that matter, and check results before you rely on them. The Services are not a substitute for a licensed professional.
5.4 How we use your Materials
We use your Materials to provide, secure, support and improve the Services and to meet legal obligations. Whether we also use your chats and coding sessions to train Zen models and other Hanzo systems is your choice:
- You set it. The setting is “Help improve Hanzo’s models.” We show it to you before your first chat, and you can change it any time in Settings → Privacy. Agreeing to these Terms does not turn it on.
- When it is on, we may use your chats and coding sessions, including their Inputs and Outputs, to train and evaluate Zen models and other Hanzo systems.
- When it is off, we do not use new chats or coding sessions for that purpose. Turning it off does not reach back into training that has already begun, as the help page explains.
- Two exceptions. Content our systems flag for safety or abuse may be reviewed and kept for that purpose, and — when the setting is off — it is not used for general training. Feedback you send (a rating, a report) may be used to improve the Services; a rating does not by itself authorize training on the whole conversation.
Anything further — contributing data to research, or publishing it — needs a separate choice under the AI Research and Data Contribution Terms. How we handle personal data is in the Privacy Policy.
5.5 Licence to run the Services
You give Hanzo and the providers that help us a worldwide, non-exclusive licence to host, copy, transform, send and otherwise process your Materials as needed to provide, secure and support the Services, follow your instructions and comply with law. Saying no to training does not limit this licence.
6. Enso, model providers and agents
Enso may read an Input and its metadata to choose a model, provider, workflow, tool or amount of computation. A request may go to more than one provider. The model behind a Hanzo or Enso name can change with availability, quality, cost, latency, safety and region. We list the providers that process data for us in the Subprocessor Register.
7. Benchmarks, research and the Verified Commons
Benchmark Arena and provenance registry
The Services may run models against public, licensed, synthetic, or customer-provided benchmark items. You authorize Hanzo to execute, cache, reproduce, store, analyze, compare, and retain standardized evaluation records generated through the Services, including:
- benchmark, dataset, task, and item identifiers;
- benchmark prompts and reference answers where Hanzo has the necessary rights;
- model, provider, endpoint, version, and date;
- system and user prompts, templates, tool definitions, and workflow topology where permitted;
- raw and normalized Outputs, candidate responses, reasoning or tool traces where collection is enabled and lawful;
- correctness, judge, verifier, recovery, damage, disagreement, co-failure, safety, and fault labels;
- seeds, sampling and decoding settings, retries, timeouts, and execution environment;
- token usage, monetary cost, latency, throughput, cache status, and reliability; and
- cryptographic hashes, provenance, consent, license, and reproducibility metadata.
These records are “Benchmark Records.” As between you and Hanzo and to the extent protectable under applicable law, Hanzo owns its compilation, normalization, measurement methodology, aggregate analyses, and Benchmark Records generated by Hanzo, excluding rights that you or a third party retain in underlying prompts, datasets, Inputs, facts, or model Outputs. You grant Hanzo the rights reasonably necessary to create and maintain Benchmark Records from materials you submit or models you authorize Hanzo to test.
Hanzo may retain nonpersonal Benchmark Records and provenance for the life of the registry or research program, including to avoid paying for duplicate runs, reproduce or dispute performance claims, detect model drift, train evaluation systems where permitted, and maintain longitudinal model histories. Personal data embedded in a Benchmark Record remains subject to the Privacy Policy, DPA, consent state, and applicable deletion rights.
Customer-provided benchmark content remains Customer Content and is private by default. Customer may separately authorize publication of identified results or contribution of a dataset. If you ask Hanzo to evaluate a private model, endpoint, dataset, or benchmark, you represent that you have authority to permit the evaluation and the requested level of storage and disclosure.
Subject to provider terms, benchmark licenses, confidentiality obligations, and applicable law, Hanzo may publish comparative scores, leaderboards, methodology, aggregate statistics, faults, replication results, and sufficient provenance to make results reproducible. Hanzo will not publish confidential prompts, private model Outputs, hidden test items, or Customer identity without authority.
User acceptance of these Terms does not create rights that a model provider or benchmark owner has not granted. Hanzo will maintain a Benchmark Rights Registry recording applicable dataset licenses, provider restrictions, publication permissions, attribution requirements, and embargoes. A result may be kept private, redacted, delayed, or removed when the necessary rights are absent or disputed.
Benchmark results describe the specific protocol, model version, date, sample, and environment tested. They are not guarantees of future performance. Hanzo may correct, qualify, or withdraw results when protocols, provider behavior, contamination, faults, or measurement errors are discovered.
Verified Commons
Private research participation does not authorize public release. Publication to the Hanzo Verified Commons, Hugging Face, or another public repository requires a separate contribution action specifying the data and license. Public release may be difficult or impossible to retract from third-party copies; the contribution flow will explain this before publication.
8. Feedback
Suggestions, ratings and bug reports you send us are welcome. We may use them without payment or restriction to improve our products.
9. Plans, fees and payment
- Plans. Hanzo has Free, Pro, Max and Team plans, and usage-based API pricing. What each includes, and its price, is on the pricing page and shown again before you pay.
- Renewal. Paid plans renew automatically each month or year, as you chose, until you cancel. We tell you the renewal price and date before you buy.
- Cancelling. Cancel any time from Billing in your settings. It takes effect at the end of the period you have paid for.
- Refunds. Payments are not refundable except where the law requires it or we say so in writing. Where your local law gives you a right to withdraw — for example a 7-day right of withdrawal — you keep it, and if you ask for the Services to start during that period we may charge for what you used.
- Price changes. We will give you at least 30 days’ notice before a price change takes effect for a plan you already pay for.
- Credits and taxes. Prepaid credits cannot be transferred, have no cash value and may expire as disclosed when you buy them. Prices exclude taxes unless stated.
- Payment processing. Card payments are handled by our payment processor, Square. We do not store your full card number. If you buy through an app store, that store’s terms govern the purchase and its refund rules.
- Non-payment. We may pause usage when a balance or limit runs out, or a payment fails.
10. Third-party services and connectors
The Services can work with other companies’ models, APIs, tools, websites and data when you choose to connect them. Their terms and privacy notices apply to what they do; we are not responsible for services you direct us to use that we do not control.
11. Content moderation
We use automated systems, and sometimes people, to find content and activity that breaks these Terms or the Acceptable Use Policy and to keep the Services safe. We may decline a request, remove content, limit a feature, or suspend an account as a result. Where we can, we tell you and give you a way to appeal.
12. Software, updates and open source
Much of Hanzo is open source, and open-source components stay under their own licences; where a licence conflicts with these Terms for that component, the licence wins. For our other software, we give you a personal, non-exclusive, non-transferable licence to use it for the Services. Apps and tools update themselves or ask you to; some updates are needed to keep working or stay secure.
13. Our property
Hanzo and its licensors own the Services and everything in them — software, models, routers, workflows, documentation, aggregate statistics and improvements — except your Materials and open-source components. Nothing here transfers those rights to you beyond the licences stated. Use of the Hanzo name and marks needs our written permission.
14. Disclaimers
TO THE MAXIMUM EXTENT THE LAW ALLOWS, THE SERVICES AND OUTPUTS ARE PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. WE DO NOT PROMISE THAT A MODEL OR PROVIDER WILL STAY AVAILABLE, THAT ROUTING WILL PICK THE BEST MODEL, THAT OUTPUTS WILL BE CORRECT OR UNIQUE, OR THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE. Nothing here removes a warranty or right that the law does not let us remove.
In plain words: the Services are a tool. We work hard at it, and it can still be wrong or go down.
15. Limitation of liability
TO THE MAXIMUM EXTENT THE LAW ALLOWS, HANZO WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, GOODWILL OR DATA. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) WHAT YOU PAID US FOR THE SERVICES IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM AND (B) US$100.
These limits do not apply to liability that cannot be limited by law, including for fraud, or for death or personal injury caused by negligence, and they do not limit your statutory consumer rights.
16. Indemnity
If you use the Services for a business, you will defend and indemnify Hanzo and its officers, employees and agents against third-party claims arising from your Materials, your applications or Actions, your breach of these Terms or the law, or your infringement of someone’s rights. We will tell you promptly, cooperate, and let you control the defense, though we may take part at our own cost and must approve any settlement that admits fault on our part. This section does not apply to individual consumers where the law forbids it.
17. Changes to the Services and to these Terms
We change the Services as products, threats and the law change, and we may add or retire features. We may update these Terms. For a material change we will give reasonable notice — by email or in the product — before it takes effect, and ask you to accept again where the law requires. If you do not agree to a change, stop using the Services and close your account. We will not widen how previously collected Materials are used for model training, or for public release, just by changing these Terms.
18. Ending the agreement
You can stop using the Services at any time. We may limit, suspend or end your access when needed to handle a security issue, a legal requirement, non-payment, abuse, a serious or repeated breach, a risk to others or to the Services, or the end of a feature. Free accounts that stay inactive for a long period may be closed after notice to the email on the account. Where we can, we give notice and a chance to appeal, and we may act at once when waiting would cause serious harm.
When the agreement ends, the licences that let us provide the Services end, except as needed to finish requested transactions, comply with law, settle disputes, or honor a valid research or public-contribution licence. Sections that by their nature should survive will.
19. Export controls and legal compliance
Export-control and sanctions laws apply to the Services. You confirm that you are not barred from receiving them under those laws, and you will not use them in a prohibited country or for a prohibited end use. You are responsible for complying with the laws that apply to your use, including any duty to tell people when they are dealing with AI or AI-generated content.
20. Intellectual-property complaints
If you believe content on the Services infringes your copyright or other rights, send a notice with the details the law requires to [email protected], subject “IP Notice.” We may remove or restrict content and end the accounts of repeat infringers.
21. Security
We use reasonable administrative, technical and organizational safeguards to protect the Services and personal data. No system is perfectly secure. Set up your account, credentials, integrations and agents carefully. Report vulnerabilities to [email protected].
22. Confidentiality
For business use, each side keeps the other’s non-public information confidential, uses it only to give or receive the Services, and protects it with reasonable care. This excludes information that is public, already known, independently developed or lawfully received from someone else, and what the law requires us to disclose. Your Materials are your confidential information.
23. Messages from us
If you give us your phone number and opt in, we may text you one-time passcodes, account and security alerts and transactional notices, using automated systems; we text you product or marketing updates only if you opt in to those separately. Consent to messages is not a condition of purchase. Reply STOP to opt out and HELP for help; message frequency varies, and message and data rates may apply. We never sell or share your mobile number with third parties for their marketing; see the Privacy Policy.
Email about your account, security and billing is required for the account to work and cannot be turned off. Marketing email has an unsubscribe link, and you can manage it in your settings.
24. Disputes and governing law
These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. The state and federal courts located in San Francisco, California have exclusive jurisdiction over any dispute arising out of them or the Services, and you and Hanzo consent to that venue, except that either of us may seek urgent injunctive relief in any court of competent jurisdiction. Before filing a claim, each of us will send the other written notice and try in good faith to resolve the dispute for at least 30 days.
If you are a consumer, nothing in this section removes the rights you have under the law where you live that cannot be waived by contract, including any right to bring a claim in the courts of your home country or state.
25. General, and how to reach us
These Terms and the documents they incorporate are the whole agreement about the Services. If a part is unenforceable, the rest stays in force. Not enforcing a term is not a waiver of it. You may not transfer your rights under these Terms without our consent; we may transfer ours in a merger, acquisition, reorganization or sale of assets, subject to privacy law. Neither of us is liable for delay caused by events beyond reasonable control, other than a duty to pay. We are independent contractors. There are no third-party beneficiaries unless stated.
